FAQ

Frequently asked questions

In Côte d'Ivoire, under the OHADA Uniform Act, the annual Ordinary General Meeting must be held within 6 months of the end of each financial year. It is mandatory to approve the annual accounts, allocate the profit and renew terms of office where necessary.
Failing to hold an annual AGM exposes directors to penalties: personal liability, inability to prove that corporate decisions were properly taken, and difficulties during a tax audit or a bank financing application. Some business partners also require proof that AGMs are held regularly.
Simple ordinary AGM minutes (approval of accounts, allocation of profit) are drafted and sent within 3 to 5 working days of the meeting. Extraordinary meetings with amendments to the articles may take 5 to 10 days, depending on the complexity of the resolutions.
Yes. We handle all post-AGM formalities: filing deeds with the RCCM (Trade and Personal Property Credit Register), registration with the tax office and publication in a legal notices newspaper if the resolution requires it.
Yes. The OHADA Uniform Act allows meetings to be held remotely under certain conditions set out in the articles. We advise you on the legal requirements so that a remote AGM is validly constituted and its decisions are enforceable against third parties.
Annual company secretarial work includes: keeping the minutes register and the register of partners up to date, archiving deeds and minutes, checking that your corporate documents are compliant, and alerting you to upcoming formalities (renewals of terms of office, mandatory filings).
